The article discusses how the Trump administration has made some positive changes for dealmakers in terms of merger enforcement. The return of early termination and a willingness to engage in merger remedies can accelerate the close of transactions and has provided a path to resolve antitrust concerns. At the same time, the new HSR form remains, the 2023 merger guidelines continue to be the agencies’ playbook and the agencies have, based upon the cases filed so far, exhibited a willingness to be aggressive. Dealmakers should cautiously take heart that some greater degree of predictability seems to be returning.
